These Terms and Conditions ("Terms") govern your access to and use of the Motor SaaS platform and the motorsaas.com website (collectively, the "Service"), operated by Saphera Corporation ("Saphera," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
Motor SaaS is a multi-tenant software-as-a-service platform designed for the automotive industry. The Service provides tools for learning management, ecommerce, AI-powered reporting, custom component development, and related digital services. Access to specific features and modules is determined by your organization's service agreement with Saphera.
To access certain features of the Service, you may be required to create an account or be provisioned an account by your organization's administrator. You are responsible for:
Saphera reserves the right to suspend or terminate accounts that violate these Terms or that are inactive for an extended period, in accordance with the applicable service agreement.
You agree not to use the Service to:
The Service and its original content, features, and functionality are owned by Saphera Corporation and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The Motor SaaS name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Saphera Corporation.
Your use of the Service does not grant you any right, title, or interest in or to the Service or any content, features, or functionality thereof, except as expressly provided in these Terms or a separate service agreement.
You retain ownership of any data, content, or materials that you upload, submit, or transmit through the Service ("Your Content"). By using the Service, you grant Saphera a limited, non-exclusive license to host, store, and process Your Content solely for the purpose of providing and improving the Service.
Saphera implements multi-tenant data isolation to ensure that Your Content is accessible only to authorized users within your organization. We will not access, use, or disclose Your Content except as necessary to provide the Service, comply with legal obligations, or as otherwise described in our Privacy Policy.
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
Access to the Motor SaaS platform is provided under individual service agreements. Payment terms, pricing, and billing cycles are defined in your organization's agreement with Saphera. Failure to pay may result in suspension or termination of access to the Service.
To the maximum extent permitted by applicable law, Saphera Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
You agree to indemnify and hold harmless Saphera Corporation, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.
We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice, as specified in the applicable service agreement. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
We reserve the right to modify or replace these Terms at any time. Material changes will be communicated through the Service or by other appropriate means. Your continued use of the Service following the posting of revised Terms constitutes acceptance of those changes.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
